1. Introduction

These Terms & Conditions govern all graphic design services provided by Sunny Sunny (“we”, “us”, “our”). By engaging our services, you (“the client”) agree to these terms in full.

2. Scope of Work

• All projects begin with a written brief agreed upon by both parties.

• Any work outside the agreed scope (e.g., additional concepts, extra revisions, new deliverables) will be quoted separately.

• Timeframes provided are estimates and may shift depending on client responsiveness, project complexity, or unforeseen changes.

3. Pricing & Payment

• Quotes are valid for 30 days unless otherwise stated.

• A 50% deposit is required to commence work, with the remaining balance due upon final approval and before release of final files.

• Payments are non‑refundable once work has commenced.

• Late payments may incur fees or delays in project delivery.

4. Revisions

• Each project includes a set number of revisions as outlined in the quote or proposal.

• Additional revisions beyond this allocation will be billed at our standard hourly rate.

• Revisions must be requested within the project timeline; delayed feedback may extend delivery dates.

5. Client Responsibilities

• The client must provide accurate, complete information, including brand assets, copy, imagery, and any required materials.

• The client is responsible for ensuring all content supplied (text, images, logos, etc.) is owned by them or properly licensed.

• We are not liable for copyright infringement arising from client‑provided materials.

6. Intellectual Property & Ownership

• All design concepts remain our intellectual property until full payment is received.

• Upon final payment, ownership of the final approved design is transferred to the client.

• Unused concepts, drafts, and working files remain our property and are not included in deliverables unless agreed in writing.

• We retain the right to showcase completed work in our portfolio, website, and marketing materials unless otherwise agreed.

7. File Delivery

• Final files will be supplied in the formats agreed upon (e.g., PDF, PNG, JPG, EPS, SVG).

• Editable source files (e.g., InDesign, Illustrator, Photoshop) are not included unless specified in the quote and may incur additional fees.

8. Cancellation Policy

• If the client cancels the project after work has commenced, all completed work to date will be invoiced.

• Deposits are non‑refundable.

• We may cancel a project at any time due to non‑payment, lack of communication, or breach of these terms.

9. Deadlines & Delays

• We will make all reasonable efforts to meet agreed deadlines.

• Delays caused by the client (e.g., late feedback, missing assets, change of scope) may result in revised timelines or additional fees.

10. Limitation of Liability

• We are not responsible for any indirect, incidental, or consequential damages arising from the use of our designs.

• The client is responsible for final proofreading and approval of all artwork before production or publication.

• Once approved, any errors are the client’s responsibility.

11. Third‑Party Services

• If third‑party services are required (e.g., printing, photography, web hosting), the client is responsible for all associated costs.

• We are not liable for delays, errors, or issues caused by third‑party providers.

12. Confidentiality

• All client information and project details will be kept confidential unless permission is granted for promotional use.

13. Amendments

We may update these Terms & Conditions from time to time. The version published on our website at the time of engagement applies.
